Agreement to business-account terms

These Terms and Conditions for Business Accounts are intended to apply to businesses and organizations that inquire about, apply for, access, or use MultiPay business-account, wallet, payment, collection, payout, foreign-exchange, virtual account, portal, or related services after approval.

By submitting an inquiry or onboarding material, accessing the secure portal, or using any approved service, you confirm that you are authorized to act for the business or organization you represent and that the business accepts the applicable terms, policies, service documents, and any separate agreement provided by MultiPay.

Business registration and verification

Businesses and organizations must provide required documentation to verify legitimacy, ownership, control, and authority. This may include company registration documents, beneficial ownership information, director and officer details, authorized signatory information, business activity descriptions, source-of-funds information, transaction purpose, expected volumes, jurisdictions, counterparties, tax information, and other onboarding materials.

You must provide accurate, complete, current, and not misleading information during registration and throughout your use of MultiPay services. Failure to provide accurate information, delayed responses, incomplete documents, or material changes that are not disclosed may result in delay, refusal, restriction, suspension, termination, or reporting where required or permitted by law.

Legal and regulatory compliance

You must comply with all applicable laws and regulations, including requirements relating to anti-money laundering, anti-terrorist financing, sanctions, fraud prevention, anti-bribery and anti-corruption, privacy, data protection, export controls, tax reporting, and any laws that apply to your business activity, counterparties, goods, services, or jurisdictions.

MultiPay may request additional information at any time to comply with legal, regulatory, partner, operational, or risk-management requirements or to process, review, delay, refuse, reverse where possible, suspend, or report a transaction or account activity. You agree to provide requested information promptly and accurately.

Account access and secure portal use

Approved clients may access account or payment functionality through the secure portal at https://webbank.multipayments.ca/. You are responsible for maintaining appropriate internal controls over portal users, credentials, devices, approval workflows, payment instructions, recipient data, and authority levels.

You must promptly notify MultiPay of suspected unauthorized access, compromised credentials, incorrect instructions, suspicious activity, fraud concerns, mistaken payments, or any event that may affect account integrity. MultiPay may apply authentication, transaction monitoring, security, compliance, or operational controls to portal access and service activity.

Third-party providers and payment processing

Business-account services, virtual account arrangements, payment processing, collections, payouts, foreign-exchange conversion, settlement, compliance screening, data hosting, messaging, and operational support may be provided, issued, processed, settled, enabled, or affected by third-party providers, including authorized banking partners, payment networks, processors, foreign-exchange providers, compliance-data providers, technology providers, intermediary institutions, and receiving institutions.

All transactions may be subject to third-party operational procedures, security protocols, compliance verification, transaction limits, cut-off times, pricing inputs, refusal rights, suspension rights, outages, reversals, delays, and separate provider terms. MultiPay does not guarantee that a third-party provider will approve, process, settle, retrieve, reverse, or support any specific transaction or service feature.

Fees, FX, limits, timing, and availability

Fees, exchange rates, payment timing, limits, supported currencies, virtual account functionality, supported corridors, and processing requirements may vary by client, service, transaction type, route, third-party provider, jurisdiction, market conditions, liquidity, compliance review, and operational capacity.

Payment completion times are estimates unless expressly guaranteed in a written agreement. Transactions may be delayed or unavailable because of missing information, compliance review, sanctions review, fraud review, third-party provider processes, intermediary or receiving institution procedures, holidays, market disruption, technical incidents, or events outside MultiPay’s control.

Prohibited use and risk controls

You must not use MultiPay services for unlawful, deceptive, sanctioned, fraudulent, abusive, unlicensed, or unauthorized activity. You must not misrepresent beneficial ownership, source of funds, transaction purpose, counterparties, business activity, or authorized users, and you must not use services on behalf of an undisclosed third party.

MultiPay may refuse to open an account, restrict account access, delay a transaction, suspend functionality, terminate an account, or report activity if MultiPay has reason to believe that activity is prohibited, misleading, suspicious, inconsistent with MultiPay’s risk appetite, inconsistent with third-party provider requirements, or otherwise poses risk to MultiPay, its partners, clients, or the financial system.

Service disclaimers and liability

To the fullest extent permitted by applicable law and subject to any binding written agreement, MultiPay services and website information are provided on an as-is and as-available basis. MultiPay does not warrant that services, the website, the portal, third-party provider facilities, payment routes, FX availability, or processing channels will be uninterrupted, error-free, secure, or continuously available.

To the fullest extent permitted by applicable law, MultiPay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, loss of data, expected savings, or other consequential loss arising from use of or inability to use the website, portal, services, third-party provider facilities, or payment activity.

Indemnity

You agree to indemnify and hold harmless MultiPay, its affiliates, officers, employees, agents, and applicable service providers from claims, damages, losses, liabilities, costs, and expenses arising from your breach of these terms, inaccurate information, unauthorized instructions, misuse of services, violation of law, fraud, disputed transaction activity, or actions or omissions connected with your business-account use.

This indemnity is subject to applicable law and any final legally approved client agreement. It should be reviewed by counsel before publication or operational use.

Amendments and priority of agreements

MultiPay may amend public terms by posting an updated version or by otherwise communicating changes where required. Continued use of the website, portal, or services after changes are posted or communicated may constitute acceptance, subject to applicable law and any required notice or consent process.

If these public terms conflict with a signed or otherwise formally accepted client agreement, service-specific agreement, fee schedule, privacy notice, operational instruction, or legally required disclosure, the more specific or formally accepted document will govern to the extent of the conflict.
