MultiPay Global Payment Solutions
Draft Terms of Service for legal review
These draft Terms are written for external corporate prospects and approved clients. They use conservative language because MultiPay services are subject to onboarding, jurisdictional availability, compliance review, partner requirements, and approval.
Acceptance of these Terms
These Terms of Service are intended to govern access to and use of MultiPay's public website, secure online banking portal, and related corporate payment services made available to approved business clients.
By accessing the website, submitting an inquiry, requesting onboarding, or using any approved MultiPay service, you indicate that you have authority to act for the business or organization you represent and that you agree to be bound by the applicable terms made available to you.
Additional agreements, onboarding documents, fee schedules, operational procedures, or service-specific terms may apply. If those documents conflict with this public website draft, the signed or otherwise formally accepted agreement will govern to the extent of the conflict.
Description of Services
MultiPay provides corporate payment infrastructure and related support that may include business wallet access, configured payment routes, supported collection and payout methods, foreign-exchange conversion support, and secure portal access for approved clients.
Service availability is not guaranteed from this website. Availability may depend on jurisdiction, currency, payment method, use case, transaction profile, documentation, compliance review, approval status, third-party provider requirements, and operational capacity.
MultiPay services may be delivered, supported, issued, processed, settled, enabled, or affected by third-party providers, including authorized banking partners, payment networks, processors, foreign-exchange providers, compliance-data providers, technology providers, and other operational service providers. Third-party procedures, availability, cut-off times, limits, due-diligence requirements, outages, refusals, reversals, delays, or terms may apply.
Nothing on this website should be understood as an offer to provide regulated financial services in every jurisdiction or to every applicant. MultiPay may decline, restrict, suspend, or terminate services where required by law, policy, risk assessment, partner requirements, third-party provider requirements, or compliance review.
Eligibility, Onboarding, and Approval
MultiPay services are intended for business and corporate use. Applicants may be required to provide company information, beneficial ownership information, director and officer information, business activity descriptions, expected transaction profiles, supporting documentation, and other information reasonably required for onboarding and ongoing compliance.
Submission of an inquiry or onboarding materials does not create a client relationship and does not guarantee account opening, transaction processing, credit, liquidity, foreign-exchange access, or any other service outcome.
MultiPay may request additional information at any time and may rely on information provided by the applicant, authorized representatives, external databases, service providers, banking partners, payment partners, and other lawful sources to assess eligibility and ongoing suitability.
Account Access and Portal Use
Approved clients may access operational services through the secure online banking portal at webbank.multipayments.ca. Clients are responsible for maintaining appropriate internal controls over user access, authorization levels, credentials, devices, and payment instructions submitted through the portal.
You must promptly notify MultiPay if you become aware of suspected unauthorized access, credential compromise, incorrect instructions, suspicious activity, or any event that may affect the integrity of your account or payment activity.
MultiPay may apply security, authentication, transaction monitoring, operational, or compliance controls to portal access and service activity. Certain features may be unavailable, delayed, limited, or subject to review.
Client Responsibilities
Clients are responsible for ensuring that all information provided to MultiPay is accurate, complete, current, and not misleading. Clients must use MultiPay services only for lawful business purposes and in accordance with applicable agreements, policies, and instructions.
Clients are responsible for reviewing transaction details before submission, including recipient information, amount, currency, payment route, purpose of payment, and any supporting documentation requirements.
Clients must comply with applicable laws and regulations, including laws relating to sanctions, anti-money laundering, anti-terrorist financing, anti-bribery, anti-corruption, privacy, consumer protection where applicable, export controls, and tax reporting obligations.
Prohibited Uses
You must not use MultiPay services for unlawful, deceptive, abusive, sanctioned, high-risk, or unauthorized purposes. Prohibited use may include attempting to process payments connected with illegal goods or services, fraud, market manipulation, tax evasion, terrorist financing, sanctions evasion, human trafficking, or other activity that MultiPay determines to be inconsistent with law, policy, partner requirements, or risk tolerance.
You must not attempt to bypass onboarding controls, misrepresent beneficial ownership or transaction purpose, provide false documentation, split transactions to avoid review, interfere with portal security, or use MultiPay services on behalf of an undisclosed third party.
MultiPay may reject, delay, freeze, reverse where possible, report, suspend, or terminate activity where required or permitted by applicable law, compliance obligations, court order, regulator request, partner requirement, or internal risk assessment.
Fees, FX, and Payment Timing
Fees, exchange rates, payment timing, limits, supported currencies, supported corridors, and processing requirements may vary by client, service, transaction type, route, partner, and jurisdiction. Applicable details should be confirmed through formal onboarding materials, portal displays, or service-specific documents.
Foreign-exchange conversion may be subject to rate availability, market conditions, liquidity, cut-off times, transaction review, and partner requirements. Displayed or quoted rates may be subject to confirmation and may not remain available indefinitely unless expressly agreed in writing.
Payment completion times are estimates only unless expressly guaranteed in a written agreement. Transactions may be delayed or unavailable due to compliance review, missing information, intermediary processing, receiving institution procedures, holidays, operational interruptions, or events outside MultiPay's control.
Website Information and Third-Party Links
The public website is provided for general corporate information and business inquiry purposes. Website content may summarize services at a high level and may not describe all legal, operational, technical, fee, or compliance requirements that apply to a particular client or transaction.
The website may contain links to third-party websites, platforms, or resources. MultiPay is not responsible for third-party content, availability, security, privacy practices, or service terms, except as expressly stated in a written agreement.
Services may also be affected by third-party provider availability, procedures, limits, due-diligence standards, outages, refusals, reversals, settlement delays, and terms. MultiPay does not control all third-party provider actions or systems.
Intellectual Property
The MultiPay name, logo, website design, text, graphics, icons, service descriptions, and other materials are owned by MultiPay or used with permission. Except where expressly permitted, you may not copy, modify, distribute, display, create derivative works from, or use MultiPay materials for commercial purposes without prior written authorization.
You may view and share public website pages for legitimate business evaluation purposes, provided that you do not remove proprietary notices, misrepresent MultiPay's services, or imply a relationship, endorsement, authorization, or partnership that has not been approved in writing.
Privacy and Confidentiality
MultiPay's collection, use, disclosure, retention, and protection of personal information is described in the Privacy Policy. Business information, transaction information, onboarding documents, and communications may also be subject to confidentiality obligations in applicable agreements.
Clients should not submit confidential or sensitive information through unsecured channels unless requested by MultiPay through an approved method. MultiPay may request information through secure channels during onboarding or ongoing review.
Disclaimers and Limitation of Liability
To the extent permitted by applicable law, the website and any public-facing information are provided on an as-is and as-available basis for general informational purposes. MultiPay does not warrant that the website will be uninterrupted, error-free, or free from harmful components.
To the extent permitted by applicable law and subject to any mandatory obligations or specific written agreement, MultiPay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, data, or expected savings arising from use of the website or services.
Nothing in these Terms excludes or limits liability where exclusion or limitation is not permitted by applicable law.
Suspension, Termination, and Service Changes
MultiPay may suspend, restrict, or terminate access to the website, portal, or services where required or permitted by law, compliance obligations, partner requirements, risk controls, security concerns, suspected misuse, non-payment of fees, incomplete information, or breach of applicable terms.
MultiPay may modify, add, or discontinue website content, service descriptions, payment methods, currencies, routes, or operational features at any time, subject to applicable agreements and legal requirements.
Governing Law and Dispute Resolution
These Terms are intended to be interpreted in accordance with the laws of Ontario and the federal laws of Canada applicable in Ontario, unless a written agreement with MultiPay specifies another governing law or forum.
Any dispute process, notice requirement, venue, arbitration clause, or escalation procedure should be confirmed in the final legally approved terms and any applicable client agreement.
Amendments
MultiPay may update these Terms from time to time. The version posted on the website may identify the effective date or draft revision date. Continued use of the website, portal, or services after changes are posted or communicated may constitute acceptance of the updated terms, subject to applicable law and any signed agreement.
